In the event of a conflict between these Terms and an SOW, the SOW shall govern with respect to the subject matter of that engagement.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

04 / SMS Communications & Text Messaging

By providing your mobile phone number through any form on our website, you consent to receive text messages from Telora AI Solutions. The following terms govern our SMS communications with you.

Consent is not required as a condition of purchase. You may decline SMS communications and still receive our services in full. We do not share your mobile phone number with third parties for their own marketing or promotional purposes.

08 / Payment & Fees

Fees for our Services will be set forth in the applicable proposal or SOW. Unless otherwise agreed:

• Invoices are due upon receipt or as specified in the SOW.
• Late payments may be subject to interest at 1.5% per month or the maximum rate permitted by law.
• We reserve the right to suspend Services for accounts with outstanding balances.
• All fees are non-refundable except as expressly provided in the applicable SOW.

OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Upon termination, all provisions of these Terms that by their nature should survive — including intellectual property, confidentiality, disclaimers, and limitation of liability — shall survive.

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Telora AI Solutions is registered, without regard to conflict of law principles.
